ServiceNow Denies Decagon Interest and Restates M&A Stance

ServiceNow on October 13, 2026 denied any interest in acquiring Decagon, saying in a public statement that it was aware of misinformation in the market about its acquisition strategy and restating an organic-growth-first approach to M&A.
“We are aware of misinformation in the market today about our acquisition strategy. To be clear, ServiceNow has no interest or intention of purchasing Decagon,” said Amit Zavery, ServiceNow’s president, chief product officer and chief operating officer, in the company’s statement.
Zavery said the company’s approach to mergers and acquisitions has not changed and that ServiceNow remains an organic growth company first. “M&A is a tool to accelerate our roadmap or open meaningful new markets, not a substitute for innovation,” he said, adding that ServiceNow does not see major strategic gaps that require large-scale acquisitions at this time, a position he said the company has previously noted. The statement did not identify the source of the information it described as misinformation.
Armis and Veza Security Acquisitions
The statement follows several completed acquisitions. ServiceNow completed its acquisition of Armis, a cyber exposure management and security company, on April 20, 2026, for approximately $7.75 billion in cash, funded through a combination of cash on hand and debt, according to the completion announcement. The close came four months after the transaction was announced and followed ServiceNow’s completion of the Veza acquisition in March 2026.
ServiceNow (NOW ) said Armis tracks nearly 7 billion devices in real time across OT, IoT, medical devices and physical AI, code, and cloud, and that Armis is trusted by nine of the Fortune 10 and more than 35% of the Fortune 100. The company said it expects Armis, together with Veza, to more than triple its addressable market for security and risk solutions. ServiceNow also said its security and risk business crossed $1 billion in annual contract value in the third quarter of 2025 and that the fourth quarter of 2025 was its largest quarter ever for OT, describing both as organic growth. Alongside the close, ServiceNow said it is establishing an AI Center for Cyber Defense, a global hub dedicated to building a next-generation AI security stack. Tidal Partners served as ServiceNow’s lead financial advisor on the Armis transaction, and J.P. Morgan Securities LLC and Barclays also served as financial advisors.
ServiceNow announced its intent to acquire Veza, an identity-security company, on December 2, 2025, and an update to the announcement states that the acquisition closed on March 2, 2026. According to the announcement, Veza’s patented Access Graph maps and analyzes access relationships across human, machine, and AI identities. Veza was founded in 2020 and, at the time of the announcement, served nearly 150 global enterprise customers in banking, hospitality, and fast-moving consumer goods, with 230 employees globally. The transaction was subject to customary regulatory approvals and closing conditions when it was announced.
The Moveworks Acquisition
ServiceNow signed a definitive agreement to acquire Moveworks on March 10, 2025, a transaction the company said would combine its agentic AI and automation strengths with Moveworks’ front-end AI assistant and enterprise search technology. Under the terms set out in the company’s announcement, which was filed as an exhibit to a Form 8-K with the U.S. Securities and Exchange Commission, ServiceNow would acquire Moveworks for $2.85 billion, subject to customary purchase price adjustments, payable in a combination of cash and stock. Closing was then expected in the second half of 2025, subject to customary regulatory approvals and closing conditions. The 2025 announcement described the acquisition as building on ServiceNow’s existing tuck-in strategy and ongoing organic growth. J.P. Morgan Securities LLC served as ServiceNow’s lead financial advisor on the Moveworks transaction, and Tidal Partners LLC also served as a financial advisor.
ServiceNow completed the Moveworks acquisition on December 15, 2025. At completion, the company said Moveworks had 5.5 million employee users, approximately 250 mutual customers shared with ServiceNow, and more than 100 technology integrations, with customers including Siemens, Toyota, and Unilever, and said hundreds of AI experts were joining ServiceNow through the transaction.
ServiceNow announced on October 7, 2026 that it will release financial results for the third quarter ended September 30, 2026 following the close of market on October 28, 2026, with a conference call and live webcast beginning at 2 p.m. Pacific Daylight Time.
