NIIT Learning Acquires Bluewater Learning for Up to $17.6 Million

NIIT Learning Systems (NIITMTS.BO ) Limited announced on October 29, 2026 that it has acquired 100% of Bluewater Learning, LLC, a Plano, Texas-based strategic learning and talent transformation firm, through its wholly owned subsidiary NIIT (USA), Inc. The aggregate consideration is up to USD 17.6 million, including performance-based earnouts over the next five years, subject to certain customary adjustments in accordance with the definitive agreements, according to the company’s acquisition announcement.
The announcement, datelined Atlanta and Plano, describes Bluewater as a partner that helps organizations connect workforce capabilities, learning ecosystems, and technology investments to business priorities.
Founded in 2003 and headquartered in Plano, Texas, Bluewater combines strategic advisory, technology solutions, and ongoing operations to help clients develop strategies, implement solutions, and support organizational change. The company has served more than 1,100 clients and completed more than 5,000 learning and talent projects over the past two decades, according to the announcement.
Platform Partnerships and Stated Growth Rationale
Bluewater holds partnerships with the learning and talent technology platforms Cornerstone and Docebo. NIIT Learning lists partnerships with Cornerstone, Docebo, Workday, SuccessFactors, Sana Labs, Degreed, Litmos, and Adobe Learning. According to the announcement, the combined organization has a bench of 210 certified HCM consulting and implementation professionals holding more than 1,000 certifications across multiple platforms.
The announcement states that the acquisition supports NIIT Learning’s growth strategy through four areas: expanded strategic advisory capabilities to align learning, career development, and workforce strategies with AI-driven business priorities; deeper learning and talent technology expertise spanning platform strategy, implementation, enhancement, and optimization, including API-led integration and data orchestration across HCM and other enterprise systems; stronger operational and managed services capabilities combining Bluewater’s technology expertise with NIIT Learning’s global delivery scale; and expanded opportunities for clients and technology partners.
On a dedicated transaction page, NIIT describes the combined organization as pairing the global reach and reliability of a large managed learning services provider with specialist depth in HCM technology. The page describes NIIT as a top-three global leader in Managed Learning Services with more than 125 Fortune and Global clients, and cites 23 years of Bluewater strategic advisory and learning technology expertise. It outlines a four-step client journey: defining strategy and assessing readiness, implementing and enhancing platforms, integrating with enterprise systems and data, and running and optimizing operations.
“AI is driving the most significant transformation of the talent and learning landscape we have ever seen,” said Sapnesh Lalla, Chief Executive Officer and Executive Director of NIIT Learning, adding that Bluewater’s advisory, implementation, and integration expertise significantly expands the company’s HCM technology solutions portfolio.
Chris Bond, Founder and Chief Executive Officer of Bluewater Learning, said in the announcement: “I’m genuinely excited for Bluewater to join the NIIT Learning family.” Bond said many of Bluewater’s client relationships extend well beyond a decade.
