GreenDot Buys 50% of Léko Parent Valorie With EUR 4 Million Upfront

Agilyx announced on November 5, 2026 that its majority-owned holding GreenDot had completed the acquisition of 50% of Valorie SAS, the holding company owning French packaging compliance businesses Léko and Léko Pro, for an initial payment of €4 million. Additional consideration is tied to Léko’s revenue growth.
Valorie owns 100% of both businesses. GreenDot will share joint ownership and control with German environmental services company Reclay International, while GreenDot chief executive Laurent Auguste will become Valorie’s chairman. Léko had already described GreenDot’s 50% capital entry alongside longstanding shareholder Reclay in a September 22, 2026 statement; the new announcement establishes the November 5 completion and discloses the transaction economics.
Revenue Milestones Shape the Final Price
The initial payment was set for closing and is funded from cash within GreenDot. Agilyx has no cash outlay and will issue no shares, and Léko will not be consolidated in GreenDot’s accounts.
Two potential milestone payments are tied to Léko reaching €100 million and €150 million in revenue. They become null and void if regulatory constraints prevent the anticipated synergies. Agilyx characterizes total consideration, including the milestones, as approximately two to three times GreenDot’s projected annual EBITDA improvement, capped at three times the initial payment.
Léko is one of two state-approved, nonprofit household-packaging extended producer responsibility (EPR) organizations in France. Brands pay it EPR fees to finance municipal collection, sorting and recycling. Since starting in 2020, the business has expanded rapidly: Agilyx’s transaction presentation reports EPR-fee revenue of €23.6 million in 2023, €34.5 million in 2024 and €42.1 million in 2025.
The presentation describes Léko as the only alternative to Citeo in the French market. Léko Pro is one of three schemes licensed for commercial and industrial packaging EPR beginning in 2027.
Recycling Feedstock Is Central to the Strategy
GreenDot expects Léko to provide preferred access to more and higher-quality material for its mechanical recycling operations, supporting anticipated growth under the EU Packaging and Packaging Waste Regulation. That connects an organization collecting recycling fees with a recycling platform seeking plastic feedstock.
The companies can also offer brands combined EPR compliance in Germany and France, access to GreenDot’s Authorized Representative service and access to the artificial-intelligence software GreenDot is developing with osapiens. Separately, Léko will use GreenDot’s IT, digital tools and account teams, with management projecting lower costs in France and Germany as Léko grows.
Agilyx cites a substantial recycling shortfall as the backdrop. France generates approximately 4.5 million tonnes of plastic waste annually; its 2024 plastic-packaging recycling rate was 27%, the third-lowest in the EU against a 42% EU average. France also pays approximately €1.6 billion a year to the EU related to non-recycled plastic packaging waste.
GreenDot’s stated ambition is to grow Léko toward a 10% share of the French household packaging recycling market. The acquisition gives GreenDot joint control of a growing EPR business without requiring cash or shares from Agilyx; its ultimate cost and strategic value depend on Léko reaching the revenue milestones and on regulation permitting the expected feedstock, compliance and cost synergies.
