On October 15, 2026, CCC announced a definitive agreement to be acquired by a consortium led by GTCR and including Elliott Investment Management in an all-cash transaction in which shareholders will receive $7.75 per share, representing an enterprise value of approximately $6.1 billion. The transaction is subject to regulatory and stockholder approvals and other customary closing conditions and is expected to close in the first quarter of 2027, after which CCC will become a privately held company. In light of the proposed transaction, CCC is suspending its practice of providing financial guidance and will not host a conference call or webcast on the results. The company said it intends to file preliminary and definitive proxy statements with the U.S. Securities and Exchange Commission and will announce a stockholder meeting to seek approval of the transaction.
